Core intelligence pillars

Four layers, one decision

Each engagement is assembled from the same four pillars. Nothing is padded to fill a page — where the evidence does not support a conclusion, the brief says so and moves on.

01

Financial & Valuation Signals

The financial picture assembled from what is publicly establishable — with the gaps named rather than modelled over.

  • Revenue estimates with their basis stated
  • Burn and runway signals from hiring and filings
  • Growth trajectory across the last three periods
  • Explicit disclosure gaps, flagged not filled
02

Competitor Moat Analysis

Who they actually compete with, on which axis, and whether the differentiation survives contact with the market.

  • Feature and positioning matrix per rival
  • Pricing tier shifts over the trailing 18 months
  • Churn and sentiment signals from public channels
  • Switching costs on both sides of the relationship
03

Risk & Regulatory Matrix

Specific failure modes, rated for severity and likelihood, with what would bound each one.

  • SEC actions, litigation and enforcement history
  • Pending compliance shifts that reprice the model
  • Operational and key-person liabilities
  • Red flags that should stop or reprice a deal
04

Executive Action Memo

One page a decision-maker can act on: the conclusion first, the confidence stated, the next steps concrete.

  • Single-sentence headline conclusion
  • Only the findings that change the decision
  • Confidence rating with its rationale
  • Gating actions to verify, negotiate or investigate

Meridian Payments Group

meridianpay.example · M&A due diligence · Depth: deep

Risk grade

A−

High moat / regulatory friction

Executive thesis

Meridian is a credible platform asset whose growth is real and whose revenue base is more fragile than the headline suggests.

Net revenue grew roughly 38% to an estimated $61.4M in FY2025 on genuine volume expansion, not price. But 58% of that revenue sits with two accounts, both of which term within fourteen months, and take rate has compressed twelve basis points while two interchange rulemakings remain open. The moat — ledger infrastructure and deep WMS-style integrations — is real and raises switching costs materially.

Recommendation: proceed to confirmatory diligence, but treat the customer waterfall and the renewal calendar as gating items, not as post-signing cleanup.

Overall confidence

Medium

No audited statements after FY2024; FY2025 figures are management-reported and unverified.

Gating actions

  • Request the customer revenue waterfall, FY2023–FY2025.
  • Obtain both enterprise contracts and their renewal terms.
  • Confirm patent assignment for the core ledger.

Illustrative sample. Meridian Payments Group is a fictional composite; figures are representative of report structure, not of any real company.

Methodology

How the brief gets built

Agentic retrieval does the volume. Structured synthesis does the judgment. A human reviews every dossier before it ships.

A named gap is useful to a decision-maker. A confident-sounding guess is a liability. We ship the first and refuse the second.

  1. 01

    Scope

Your target, focus and the specific questions the brief must answer become the research plan. Ambiguity gets resolved here, not mid-run.

  2. 02

    Retrieve

Agents run targeted queries across six research dimensions, then fetch the highest-value pages in full. Typically 40–120 sources per engagement.

  3. 03

    Triage

Every source is scored for relevance and reliability. Vendor marketing is weighted below filings; irrelevant and duplicate material is dropped before synthesis.

  4. 04

    Synthesise

Findings are written section by section against the surviving evidence, each tied to a source id, each carrying a confidence rating. The summary is written last.

Sources of record

Where a record exists, we go to the record

Two of the three source classes below are official registries queried directly, not pages discovered by a crawler. When you ask where a number came from, the answer is a filing or a docket — not a blog post that cited a press release.

SEC EDGAR
Primary
Filings pulled straight from the Commission — 10-K, 10-Q, 8-K, S-1, proxy statements. Cited by accession number, so any figure can be traced back to the document it came from.
Federal court records
Primary
Dockets and opinions via CourtListener. Litigation history does not depend on a company choosing to file with the SEC, so this reaches private targets that disclosure-based research cannot.
Open web
Supporting
Search and full-text retrieval for market context, pricing and coverage. Weighted below records in triage, and never the sole basis for a material claim.

Most lower-middle-market targets are private and file nothing. We say so in the dossier rather than filling the gap, and the confidence rating moves accordingly.
